The company received CAD$5 million in funding from the Government of Canada and raised US$102 million independently in a Series A round led by San Francisco-based Data Collective and Microsoft Ventures. In September 2019, Element AI completed a Series B round of $151 million (CAD$200 million), achieving a valuation between $600 million and $700 million.
Notable investors included Microsoft, Intel, Nvidia, Tencent, Uncork Capital, Bling Capital, Garuda Ventures, and prominent angel investors from companies such as Intercom, Airtable, Kaggle, and PagerDuty. However, despite significant capital infusion and high-profile backing, Element AI faced challenges in commercializing its AI research and bringing products to market at scale.
Restructuring and Challenges
By 2020, Element AI encountered operational difficulties that necessitated strategic restructuring. In May 2020, the company reportedly laid off approximately 15 percent of its workforce while appointing its first Chief Financial Officer and Chief Revenue Officer to strengthen its go-to-market capabilities. At that time, Element AI employed approximately 350 people and was generating modest revenue relative to its valuation and capital raised.
Acquisition by ServiceNow
On November 30, 2020, ServiceNow, a California-based cloud computing and IT services company, announced its agreement to acquire Element AI. The acquisition was completed on January 8, 2021, for approximately $230 million USD, representing a significant markdown from Element AI's previous valuation of $600-700 million. The purchase price was subject to customary adjustments and marked ServiceNow's fourth AI acquisition in 2020, following purchases of Loom Systems, Passage AI, and Sweagle.
ServiceNow's strategic rationale focused on acquiring Element AI's technical talent and AI capabilities rather than maintaining its standalone business operations. The acquisition brought expertise in natural language processing, computer vision, document intelligence, text and language understanding, conversational AI, image recognition, search optimization, and question-response systems to ServiceNow's Now Platform.
Dr. Yoshua Bengio joined ServiceNow as a technical advisor, while CEO Jean-François Gagné and core technical teams were integrated into ServiceNow's organization. However, ServiceNow wound down most of Element AI's existing customer relationships and products following the acquisition. Reports indicated that approximately half of Element AI's workforce, including the "vast majority" of corporate employees, received termination notices shortly after the acquisition announcement, with ServiceNow retaining primarily technical and research staff.
Current Status
Element AI no longer operates as an independent entity. Following the acquisition, ServiceNow established an AI Innovation Hub in Montreal (now part of Canada's thriving AI research ecosystem) to accelerate customer-focused AI innovation within the Now Platform. Element AI's technology and expertise have been integrated into ServiceNow's broader AI capabilities, particularly contributing to Now Intelligence features and Theme AI models designed to extract actionable insights from unstructured data.
The acquisition also resulted in the termination of a funding agreement between the Government of Canada and Element AI. In June 2020, the Canadian government had signed a deal through the Strategic Innovation Fund for a conditionally repayable contribution of CAD$20 million over five years, aimed at securing intellectual property and growing AI firms in Canada. This agreement was terminated following ServiceNow's acquisition announcement, with no capital having been disbursed to Element AI.
Element AI UK Limited, the company's British subsidiary incorporated on January 5, 2018, was formally dissolved on January 3, 2023, marking the final administrative closure of Element AI's international operations.
Legacy and Impact
Despite its ultimate acquisition at a significantly reduced valuation, Element AI played an important role in advancing enterprise AI adoption and demonstrating both the opportunities and challenges of commercializing academic AI research.
